In addition, most associations are organized as nonprofit corporations which, under Michigan’s Nonprofit Corporation Act, creates unique issues that associations must address, including governance structure and liability protection for volunteers and fiduciary obligations of officers and directors. We can assist your association in drafting and updating its corporate documents and its policies on various governance topics such as antitrust, conflict of interest, record retention and whistleblower protection.
